Welcome to Twinzy.ai! These Terms of Service ("Terms") outline the legal agreement between you ("User") and Twinzy.ai ("Twinzy," "we," or "our") regarding your use of our application ("App") and related services. By using Twinzy, you agree to comply with and be bound by these Terms. Please read them carefully.

1. Account Creation and Likeness Usage

1.1 Account Creation

To use Twinzy, you must sign up using your Instagram account. By connecting your Instagram account, you authorize Twinzy to access certain information and content associated with your Instagram profile.

1.2 Likeness Usage

Twinzy utilizes your Instagram profile information and content to create a chatbot ("Chatbot") that resembles your likeness. While we strive for accuracy, we do not guarantee an exact replication. You retain ownership and control over your likeness, and we do not claim any ownership rights.

2. User Responsibilities and Conduct

2.1 Accuracy of Information

You are responsible for ensuring that the information provided during account creation is accurate, complete, and up to date. Twinzy shall not be liable for any inaccuracies or consequences resulting from incorrect information.

2.2 Compliance with Laws

You agree to comply with all applicable laws and regulations while using Twinzy. You shall not use the App for any illegal, unauthorized, or unethical purposes.

2.3 Respect for Privacy and Intellectual Property

You acknowledge and agree not to use Twinzy to infringe upon the privacy or intellectual property rights of others. You shall not create Chatbots resembling or impersonating other individuals without their explicit consent.

3. Intellectual Property Rights

3.1 Ownership

You own the rights to your likeness and the content you create on Twinzy. Twinzy retains all rights, title, and interest in the App, including any intellectual property rights associated with it.

3.2 License Grant

By using Twinzy, you grant Twinzy a non-exclusive, worldwide, royalty-free license to use, modify, reproduce, display, and distribute your content for the purpose of providing and improving the App. This license terminates when you delete your account or remove your content from Twinzy.

3.3 Prohibited Use

You agree not to:

• Modify, adapt, translate, reverse engineer, or create derivative works of Twinzy or its Services.

• Remove, alter, or obscure any copyright, trademark, or other proprietary notices from Twinzy or its Services.

• Use Twinzy or its Services for any commercial purpose without our prior written consent.

  
  

4. Payment Terms

4.1 User Earnings

Any payments made to the User from the end users will be split, with 80% of the payment going to the User and 20% going to Twinzy. Twinzy retains the 20% share to support and improve the platform.

4.2 Earnings Transfer

Twinzy will wire-transfer User earnings on a bi-weekly basis, subject to reaching a minimum threshold amount specified by Twinzy. The exact payment schedule and minimum threshold amount will be communicated to User separately.

4.3 Delays and Bank Processing

Twinzy is not responsible for any delays in the transfer of earnings caused by banks, financial institutions, or other external factors beyond our control. User acknowledges that bank processing times may vary and that any delays in receiving their earnings are not the responsibility of Twinzy.

4.4 Add-On/Pro Features

Twinzy may offer add-on or pro features that require additional payments or a monthly subscription. By choosing to access and use these add-on or pro features, you agree to pay the specified fees or subscription charges associated with such features. Payment terms and details will be provided to you at the time of purchase or subscription.

5. Limitations of Liability

5.1 Service Availability

Twinzy strives to provide a reliable and uninterrupted service. However, we do not guarantee that the App will be available at all times, free from errors, or that access will be uninterrupted.

5.2 User Discretion

You agree to use Twinzy at your own risk. Twinzy shall not be liable for any damages, losses, or liabilities arising from your use of the App or reliance on its content.

6. Modifications to the Terms

6.1 Updates

Twinzy reserves the right to modify or update these Terms at any time. We will notify you of any significant changes, and your continued use of Twinzy after such changes constitutes acceptance of the modified Terms.

7. Termination

7.1 Account Deletion

You may delete your Twinzy account at any time by following the instructions within the App. Upon deletion, Twinzy will no longer use your likeness to generate the Chatbot.

7.2 Termination by Twinzy

Twinzy may terminate or suspend your account at any time if you violate these Terms or engage in any activity that poses a risk or harm to Twinzy or its users.

8. Governing Law and Jurisdiction

8.1 Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the state of California, United States, without regard to its conflict of law provisions.

8.2 Dispute Resolution

Any disputes arising from or relating to these Terms or your use of Twinzy shall be resolved exclusively in the federal or state courts located in the state of California. Both parties consent to the personal jurisdiction and venue of these courts.

9. Indemnification

You agree to indemnify, defend, and hold Twinzy and its affiliates, officers, directors, employees, and agents harmless from and against any claims, liabilities, damages, losses, costs, or expenses, including reasonable attorneys' fees, arising out of or in connection with your use of Twinzy or any violation of these Terms.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Twinzy, its officers, directors, employees, or agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or reputation, arising from or related to your use or inability to use Twinzy.

11. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid, illegal, or unenforceable provision shall be deemed modified to the extent necessary to make it valid, legal, and enforceable.

12. Entire Agreement

These Terms constitute the entire agreement between you and Twinzy regarding the subject matter hereof and supersede all prior or contemporaneous understandings and agreements, whether oral or written.
